1. Introduction

These Terms of Service (“Terms”) govern your access to and use of any websites, content, publications, digital assets, tools, services, and communications provided by Apex Edge Sales Engineering Limited (“we”, “us”, “our”) (together, the “Services”).

What these Terms do not cover. ApexIQ WinCommand is a separate web application published at wincommand.apexedgesalesengineering.com. It is a website in its own right and it carries its own legal documents. These Terms do not govern:

• use of the ApexIQ WinCommand application itself, which is governed by the ApexIQ WinCommand Website Terms of Use;
• any paid subscription to ApexIQ WinCommand, which is governed by the ApexIQ WinCommand Subscription Terms;
• free trials of ApexIQ WinCommand, which are governed by the ApexIQ WinCommand Trial Terms; or
• prices, billing, renewal, and refunds, which are governed by the ApexIQ WinCommand Pricing Terms.

ApexIQ Companion is a separate website published at companion.apexedgesalesengineering.com. It is a website in its own right and it carries its own legal documents. These Terms do not govern:

• use of the ApexIQ Companion website itself, which is governed by the ApexIQ Companion Website Terms;
• any subscription to an ApexIQ Companion Topic, which is governed by the ApexIQ Companion Service Terms;
• what each Topic does and does not do, which is governed by the ApexIQ Companion Service Description for that Topic; or
• material you send to an ApexIQ Companion service, which is governed by ApexIQ Companion Confidentiality and Materials and the ApexIQ Companion Privacy Notice.

Where these Terms and an ApexIQ WinCommand or ApexIQ Companion legal document both address the same subject matter, the ApexIQ WinCommand or ApexIQ Companion document takes precedence for that subject matter.

The Services are intended for business users. If you are a consumer, nothing in these Terms affects your statutory rights under applicable law.

This includes proprietary names and marks such as ApexIQ™, ApexIQ Insights™, and related methodologies, as well as our trademarks and brand assets.

5. Permitted Use

You may view, download, and print materials from the Services for your internal business purposes only, provided you keep all copyright and proprietary notices intact.

6. Prohibited Use

You must not, without our prior written consent:

• reproduce, republish, distribute, sell, sublicense, or commercially exploit any part of the Services or content,
• modify, translate, reverse engineer, or create derivative works from our content or materials,
• remove proprietary notices, or use our trademarks without permission,
• share any non-public materials (including proposals, paid materials, or confidential documents) outside any agreed scope or licence, or
• use any content, frameworks, data, or other materials from the Services to train, fine-tune, evaluate, or develop any machine learning model, artificial intelligence system, or automated tool, whether commercial or otherwise.

7. Licensed Use

If we grant a licence, it will be set out in writing and will be limited by scope, duration, users, and permitted use. Unless expressly agreed, licences are non-transferable and revocable.

8. Free Tools and Preview Services

We may make certain tools or preview services available free of charge, including the ApexIQ WinScore™ Preview. These are provided for evaluation and informational purposes only.

Results, scores, and outputs generated by free tools are indicative only. They do not constitute professional advice, a formal assessment, or a guarantee of any outcome. You are responsible for how you use and act on any outputs. Any data you enter into free tools is processed in accordance with our Privacy Policy and Cookie Policy.

We may withdraw or modify free tools at any time without notice.

ApexIQ WinScore Preview licence summary

ApexIQ WinScore Preview is a proprietary deal scoring and decision-support tool forming part of the ApexIQ system. WinScore Preview and all associated questions, scoring logic, wording, outputs, and supporting materials are owned by Apex Edge Sales Engineering Limited and are licensed, not sold, under the ApexIQ WinScore Preview, Free Use Licence v20260201 (Non-Commercial). ApexIQ, ApexIQ WinScore Preview, and WinScore Preview are proprietary marks of Apex Edge Sales Engineering Limited.

You may use WinScore Preview for internal, non-commercial deal review and decision support, and may share unmodified outputs internally with clear attribution. You must not modify, adapt, reword, reverse engineer, create derivative works from, rebrand, remove notices from, sell, sublicense, paywall, externally redistribute, publicly benchmark, or use WinScore Preview or its materials to train, fine-tune, evaluate, or replicate any machine-learning or AI system, or state or imply endorsement by Apex Edge Sales Engineering Limited. All rights not expressly granted are reserved. Use is subject to the full licence and applicable UK and international intellectual property laws.

If you access the Services from outside the UK, you do so on your own initiative and are responsible for compliance with local laws.

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have jurisdiction, except that either party may seek urgent injunctive or interim relief where appropriate.

• No waiver: Failure to enforce a term is not a waiver.
• Assignment: You may not assign these Terms without our written consent; we may assign to an affiliate or successor.
• Entire agreement: These Terms, together with our Privacy Policy, Cookie Policy, and Acceptable Use Policy (each accessible on our website), form the entire agreement between you and us about use of the Services.

21. Changes

We may update these Terms from time to time. We will publish any changes on our website and update the “Effective” date shown above. The “Last reviewed” date records when we last checked these Terms, whether or not they changed. Your continued use of the Services after that date constitutes your acceptance of the revised Terms. If you do not agree to any changes, you should stop using the Services.
